Welcome to The Intelligent Trader, operated by DarkMode Devs LLC ("we," "us," or "our"), an Arizona limited liability company. By accessing or using our web application at theintelligenttrader.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

To use the Service, you must sign in using your Google account. You are responsible for maintaining the security of your Google account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

The Service is a journaling and record-keeping tool only. Nothing provided by the Service, including AI Coach analyses, constitutes financial advice, investment advice, trading advice, or any other form of professional advice.

The AI Coach feature provides automated analysis of your self-reported trading data for educational and self-improvement purposes only. AI analyses are generated by a third-party language model (Anthropic Claude) and may contain errors, inaccuracies, or inappropriate suggestions. You should not rely on AI analyses to make trading or investment decisions.

We are not a registered broker-dealer, investment adviser, or financial planner. You are solely responsible for your own trading decisions and their outcomes. Always consult with a qualified financial professional before making investment decisions.

New users may be eligible for a 7-day free trial. Trial eligibility is determined at checkout and is limited to one trial per user. After the trial period, your selected plan will be charged automatically unless canceled.

c. Billing

All payments are processed by Stripe. Subscriptions are billed monthly and renew automatically. You may cancel your subscription at any time through the Stripe customer portal accessible from the app. Cancellation takes effect at the end of the current billing period.

d. Refunds

Subscription fees are generally non-refundable. If you believe you have been charged in error, please contact us at contact@darkmodedevs.com.

The Service, including its design, code, features, logos, and content (excluding user-submitted data), is owned by DarkMode Devs LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

You retain ownership of all trading data, notes, and other content you submit to the Service. By using the Service, you grant us a limited license to store, process, and display your data solely to provide the Service to you.

9. Data and Account Deletion

You may delete your account at any time through the app's settings. Account deletion immediately and permanently removes all your data from our database, including trades, premarket analyses, trading rules, AI analyses, and subscription records. This action is irreversible.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any AI-generated analyses or content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARKMODE DEVS LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless DarkMode Devs LLC, its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Maricopa County, Arizona.

We may update these Terms from time to time. Changes will be reflected by updating the "Effective Date" at the top of this page. Continued use of the Service after changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

15. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DarkMode Devs LLC regarding the use of the Service.
